Who we are
Factorest is a product of Koombea, Inc., 3811 Airport Road N, Suite 100A, Naples, FL 34105, United States. Questions about these terms go to legal@koombea.com.
Using this site
You may use the site to learn about Factorest and evaluate whether to talk to us. You may not use it for any unlawful purpose, interfere with its operation or security, submit malicious code, impersonate anyone, or scrape it in a way that burdens the service or breaches these terms.
This is not an offer of credit
Nothing on this site is an offer, commitment, or solicitation to provide financing, to purchase receivables, or to advance funds, and nothing here creates an obligation on anyone to do so.
Factorest is software intended for financing companies. It does not make credit decisions, set eligibility, verify invoices, or move money. Those functions stay with the financing company operating them, under its own agreements, policies, and controls.
Illustrative figures
Figures, calculations, workflow states, document references, and company names shown on this site are illustrative examples constructed to demonstrate how the product presents a case. They are not customer data, not live account information, and not the output of a deployed system.
In particular, a calculation shown here is not lender-approved availability; a buyer acknowledging receipt of an invoice has not accepted it, scheduled payment, or authorised funding; a recorded reserve release is not confirmed cash movement; and a disputed invoice is not evidence of fraud. Do not rely on anything shown here as a basis for a financing decision.
No professional advice
The site is provided for general information. It is not legal, financial, accounting, credit, tax, regulatory, or other professional advice, and it is not a substitute for your own diligence or your own advisers. Your eligibility rules, verification standards, and credit policies remain yours to set and apply.
Pilot discussions and proposals
Factorest is offered through scoped implementations and supervised pilots. Descriptions of scope, capability, integration coverage, timing, or commercial terms discussed on this site or in correspondence are indicative only.
Nothing becomes binding on either of us unless it is set out in a written agreement signed by both parties.
Beta and preview access
Where we make a beta, preview, or evaluation environment available, access is granted at our discretion and governed by the separate agreement covering that environment. Such environments may change or be withdrawn without notice, may not be supported, and should not be used to process live funding decisions or production financial records unless the governing agreement expressly permits it.
Intellectual property
We own or license the content, design, and materials on this site. You may view, download, print, and internally share reasonable portions of it to evaluate working with us. Any other use, including redistribution or creating derivative works, needs our written permission.
Automated access and AI use
Some files on this site, including our robots and sitemap files and our machine-readable summary at /llms.txt, are published deliberately for automated consumption. Search indexing and answer-time grounding that cites this site are permitted.
Using site content to train models, or to assemble a commercial dataset drawn primarily from it, is not permitted without our written agreement.
Information you submit
You confirm that information you send us is accurate, that you have the authority to send it, and that sending it does not breach an obligation you owe to anyone else.
You grant us the rights we need to use that information to respond to you, evaluate the opportunity, and prepare a scope or proposal. We handle it in line with our Privacy Policy.
Do not send confidential financial records, personal information about your clients or their buyers, or anything subject to a confidentiality obligation through the website form. Where an evaluation needs material of that kind, we put a written arrangement in place first.
Third-party services
The site links to and relies on services we do not control, including our form-delivery provider and font hosting. We are not responsible for their content, availability, or practices, and your use of them is governed by their terms.
Privacy
Our Privacy Policy explains how we handle information collected through the site, and forms part of these terms.
Disclaimer of warranties
To the fullest extent permitted by law, the site and its content are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation.
Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost funding opportunities, or loss of data, arising from your use of this site.
Our total aggregate liability arising out of or relating to this site will not exceed 100 US dollars. This limit does not apply where the law does not permit it.
Indemnity
You agree to indemnify and hold us harmless against claims, damages, losses, and reasonable costs arising from your misuse of the site, your breach of these terms, or your infringement of a third party's rights.
Changes
We may change the site or these terms. When we change the terms we revise the effective date shown at the top. Continuing to use the site after a change means you accept the revised terms.
Governing law and venue
These terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. The state courts located in Collier County, Florida, and the federal courts with jurisdiction over that county, have exclusive jurisdiction over any dispute, and you consent to their jurisdiction and venue.
Severability and waiver
If a provision is held unenforceable, it is modified to the least extent necessary and the remainder stays in force. A failure to enforce a provision is not a waiver of it.
